Item 7.01     Regulation FD Disclosure
On September 27, 2022, Biohaven Pharmaceutical Holding Company Ltd. (“RemainCo”) announced that the closing date of the previously announced acquisition of RemainCo by Pfizer Inc. (the “Merger”) is expected to be on October 3, 2022. The distribution for RemainCo’s spin-off of Biohaven Ltd. (the “Company”), which will own the Kv7 ion channel activators, glutamate modulation, myeloperoxidase inhibition and myostatin inhibition platforms, preclinical product candidates, and certain corporate infrastructure currently owned by RemainCo (the “Spin-Off”), is expected to occur immediately prior to the closing of Pfizer’s acquisition of Biohaven, also on October 3, 2022.
