BOARD DIVERSITY AND INDEPENDENCE

Applying NYSE’s listing standards for independence, six out of eight members of our board of directors are independent.

Our board maintains a balance of knowledge, experience, and capability, and takes many factors into consideration to fulfill this balance. Considering geographic, age, gender, and ethnic diversity is consistent with the goal of creating a board that best serves the needs of the company and the interests of our shareholders. Of our eight directors, we have two female and two people of color. As we consider additional directors, we are actively focused on increasing the gender, racial/ethnic, and age diversity of our board composition.
